4. Prepare a realistic business plan covering startup costs, monthly expenses and expected customer activity.
5. Confirm local licensing, zoning and health requirements.
6. Register the Club with Herbalife and submit any required declaration or documentation.

Herbalife’s U.S. Commercial Club guidance states that before a Distributor enters into a lease, sublease or purchase agreement for a physical location to operate an Herbalife-related business, the Distributor must:

• Have been an Herbalife Independent Distributor for at least 12 consecutive months.
• Successfully complete the required Keys to Your Business: Commercial Location training.
• Prepare a business plan using Herbalife’s interactive business-plan process and make it available to Herbalife upon request.
• Register the Nutrition Club with Herbalife.

Important Exception: What If You Already Own the Property?

This is an important distinction for someone who already has access to a suitable location.

Herbalife’s Commercial Club No Lease Declaration recognizes situations in which a Distributor is not making a new purchase or entering into a new lease or sublease for the location where the Club will operate.

The declaration includes, among other situations:

• A property the Distributor previously purchased for a non-Herbalife-related purpose.
• A property for which the Distributor previously entered into a lease for purposes unrelated to an Herbalife business.
• A location the owner or landlord allows the Distributor to use without a lease or financial obligation, subject to the conditions in Herbalife’s declaration.

For Commercial Clubs that qualify for this No Lease route, Herbalife’s published requirements do not list the 12-month Distributor waiting period. Instead, the Distributor is required to complete the Commercial Location training, prepare the business plan, submit the applicable declaration and register the Club.

The No Lease Declaration also states that Herbalife may request proof of ownership or proof of the property’s previous use. If the arrangement involves a landlord, additional owner or landlord documentation may also be required.

What If the Location Is Rent-Free?

A rent-free arrangement does not automatically mean that the No Lease rules apply.

If the Distributor has a financial obligation in exchange for the right to occupy the space — for example, landlord-mandated improvements — the arrangement may still fall under the rules for a lease, sublease or purchase agreement. Where an owner allows the Distributor to operate without a lease and without a financial obligation, the No Lease process may apply. The required training, business plan, declaration and Club registration still need to be completed.

Do Not Sign a Lease First and Ask Questions Later

For a Distributor planning to rent, sublease or purchase a location specifically for an Herbalife business, timing matters. The applicable Commercial Location requirements should be completed before entering into the agreement.

Prospective Club operators should therefore verify their eligibility and complete the required Herbalife steps before committing financially to a location.

Special Note for Distributors Registered Outside the United States

International Distributors should verify their eligibility before planning a U.S. Nutrition Club.

Herbalife’s current U.S. Sales & Marketing Plan states that non-U.S./U.S. Territory Distributors can currently place Customer Direct orders in the United States, but they are not able to submit Retail or Nutrition Club receipts.
